# History Bright Moments is building a network of real-world, end-user crypto experiences. We plan to open a series of galleries in ten cities around the world, each with their own dedicated collection of 1,000 NFTs. By April 2024, we will have a collection of 10,000 NFTs representing our global community. Our genesis location in Venice Beach opened its doors in May 2021 as a community space to provide a fun, social setting for people to learn about and collect NFTs. Since opening, we have been hosting in-person experiences for live NFT minting, drops, auctions, and curated art shows. During these meetups, members of the core Bright Moments team can be approached and you can nominate yourself to mint a CryptoCitizen. There are a few different ways to be nominated: * Consistently attend meetups and help to create a positive atmosphere * Describe yourself, and how you can contribute to the DAO moving forwards * Speak with a team member about receiving a nomination form Once you have nominated yourself, you will need to fill in a form with information about yourself. After completing the form, we will announce the vote. During the vote, existing DAO members will allocate you points. These have been successful in places such as Madrid, Hong Kong and London. ## What options do I have during a Bright Moments event? A mint pass grants you the opportunity to mint an artist's piece. For instance, during Bright Moments Paris, there are 19 artists, divided into 12 Generative and 7 AI artists. Mint passes are sold via Dutch Auction, initially randomized, and later assigned numbers before a reveal event where each number is associated with an artist's name. This offers collectors the chance to assemble a full set of unique artists. A Golden Token allows you to mint a CryptoCitizen at the event. Once you possess a Golden Token, you can participate in the live minting process for your local CryptoCitizen. Golden Tokens are sold via auction leading up to the city event, such as the [example](https://opensea.io/assets/ethereum/0x985e1932ffd2aa4bc9ce611dfe12816a248cd2ce/660) of a Buenos Aires Golden Token. One of the most exciting things about attending a Bright Moments city event is the opportunity to live mint either a CryptoCitizen or a piece of artwork. Live minting means you attend the event with a mint pass, and during the event your mint pass is turned into a piece of artwork that did not exist before you attended the event. Mint passes and Golden Tokens can be purchased via the Bright Moments portal during auctions. Auctions usually run in the months leading up to the cities and last anywhere between 1 hour and a few days. Holders of CryptoCitizens are members of the Bright Moments DAO and are granted governance rights and the ability to vote on key proposals. CryptoCitizens were originally minted for free in Venice Beach, California and have gone on to create communities in cities around the world, including New York, Berlin, London, CDMX, Tokyo, Buenos Aires, Paris, and Venezia, Italy. Remote minting is ***not*** available for winners of the CryptoCitizen minting reservation airdrop or community nomination process. If a Golden Token London holder is unable to come to London IRL during the month of July, they are able to request a remote mint through . Remote mints are executed by the Bright Moments team. The Bright Moments team will execute all remote mint requests no later than July 31st, the last day of live minting in London. The Bright Moments team will attempt to execute remote mints at a regular cadence across July but due to the nature of our events, IRL mints are prioritized. ### Delegate Minting Anyone who won a CryptoLondoner minting reservation and is unable to come to London in person may use a delegate to mint IRL. In order to delegate mint, the winner of a CryptoLondoner minting reservations must schedule a minting time on the Bright Moments portal at . Scheduling through the portal will generate a QR code which can be sent to the delegate as an image. When the delegate arrives, they will scan the QR code to trigger the minting of a CryptoLondoner to the wallet that initially scheduled the appointment. At no point will the delegate have access to the minted NFT – the transfer is handled automatically through a smart contract. The Bright Moments Team is not able to facilitate Delegate Mints (i.e. we cannot delegate mint for you). If you need a delegate to attend the London Minting on your behalf you can look for community members to help in the Bright Moments discord in the [#find-a-delegate](https://discord.com/channels/856296302082129943/982455071839240192) channel. Any unscheduled reservations or no-show appointments will be reassigned to collectors who are able to attend London Minting IRL. All minting reservations expire at the end of July. For delegate minters that are minting multiple CryptoLondoners on behalf of community members, we will allow delegates to go through physical experience once per person. The Bright Moments team will mint all of the remaining delegate QR codes at the end of the experience, before the delegate leaves the gallery. Due to logistical constraints, we are not able to ship any physical items (e.g. Bright Moments Quarterly) provided to IRL minters. If you are planning to have your delegate ship items to you, please open a ticket in #help to let the team know that we should provide the delegate with a physical gift bag. Unless specifically requested by the owner of the CryptoCitizen, delegate minters will not receive a physical gift bag for mints performed on behalf of another person. # Scheduling and Remote Minting Instructions ## London Collection Mint Pass Scheduling To schedule an appointment to mint, visit and connect your wallet holding the Mint Pass NFT. I think there is no place in the world has so many different people. You can meet artists, history, and tech all in the same place. Myself I’m in tech and love new things. I grew up with Lego and building and making things. I love web3 because it is a way to imagine how the world could be and bring together a community of like minded people. I got into NFTs Christmas of the lockdown where I convinced my gf that a cryptopunk was a good joint present. Ever since then I was hooked. 14.Masato K.Hi, I’m Masa, a London-based researcher and artist from Tokyo. I’ve been in the NFT space since autumn 2021. Currently, I work as a community mod for DRP.io, a gallery-led NFT platform focusing on contemporary artists and blockchain technology. As a researcher, my PhD was on the live audiovisual performance of digital music. Now I aim to expand my research into NFTs and NFT art, mainly around exciting and new approaches using the technology. As an artist, I have been working on the theme of sex and relationship norms (polyamory, sexual desire and sex work, for example). I am slowly preparing an NFT art collection about female sex positivity using photography and text. With the collection, I want to build a safe community where people can talk about sex and relationship free from normatively. I was homeless in 2013 and got deported from the UK, in that same year I moved to Istanbul where I had my first international solo exhibition. It will be sold as a collectors ‘SUMO’ in an edition of 10,000 along with a trade copy starting at 100,000. A world full of truth, mystery and lies. I poke fun at the powerful. I sit and stare at the Sea. Different formats open up different styles. There’s something elusive about the process that turns digital art into something I can touch, then bounce it back into the computer. Drawn to digital because I can draw anywhere and transmit quickly. There’s a variety of tools and it’s easy to experiment with.

I want to join Bright Moments DAO because there’s a massive shift towards international artistic and tech collaboration in crypto. I haven’t seen this before in the traditional art world, where it can be difficult to connect with the gatekeepers. I think joining the story of the DAO is a great way to build relationships with people I wouldn’t have normally met and learn about their culture and creativity. Plus I can share my skills and knowledge with others.

Here's a short bit about me - born in NZ to Vietnamese refugees, raised in Australia, and lived all around the world but shamefully can only manage to speak English with any level of proficiency. I've worked in a bunch of companies across Asia and Europe with a background in finance, consulting and operations.

More recently, I've been running a VC-backed tech scale-up here in London looking to fix the shit childcare system that we have in the UK - I suspect this resonates with all the UK parents in the group.

I stumbled into crypto and web3 towards the back half of 2021 (which was a terrible time to start DCA'ing - shrug) and have caught the bug ever since. I heard about Bright Moments from a podcast with philm (DAO the Rabbit Hole), and loved the intersection of IRL experiences and NFT art. It just made sense. So I immediately jumped onto the BM Discord and contributed to the London channel. I organised the first meet-up in London (#pirate-not-cowboy-hat), have met some fantastic people through BM here in London and Berlin, and look forward to getting stuck in. I'm also loving all of the experimentation happening here with DAOs and think BM are really onto something with a clear misson and buckets of good intention and vibes from the team.

I am interested in joining Bright Moments DAO as I want to join a local network of Web3 advocates that I can learn from whilst also teach to improve the ecosystem together!

For me, this breaks down into three areas:

  • Learning while Coaching: Looking to further my understanding of Web3 technologies, while also educating people on how best to launch businesses, projects and product being a VP Product in a global B2C business.
  • Collecting and Admiring Art: I love taking photos with my DLSR and my Drone, and love creating art myself, as a voxel artist (hence the alias), like a Sandbox Game creator and artist. I also love to collect 2D and 3D animations that speak to my soul that are playful, compelling and fun.
  • NFT Game Economics: I also have a passion for gaming, and am now just learning about how game mechanics influence human behaviour, in PVP and PVE games based on NFTs. I am now invested into a couple of games (Metroverse, for example) and can't wait to explore this more with people within the Bright Moments community as well!

As a VP Product of a B2C Mobile Tech company that has scaled from 500 to 2000 people in a year, I am sure I can help artists and project owners know the basics for launching a sustainable business or project based on NFTs or blockchain technologies. Would love to mentor and coach if this opportunity exists within the Bright Moments community.

Hello everyone, London-based psychotherapist here. I started out in crypto in 2017: I put £200 into bitcoin, tripled it and withdrew my earnings exclaiming ""I beat crypto!"" then left the space for 3+ years. That kid had a lot to learn ey... But hey, now I'm here for good (permanently) and for THE good - for the philosophy and to help make the world a better place. To do this I'm focusing on mental health.

I have a master's in psychology and weekdays I work as a therapist in the National Health Service (NHS). Famously the NHS is in the news here every year because our pay rise is never more than the rate of inflation, which becomes a huge political furore. I side with those that want to keep our free public healthcare but it just isn't sustainable at the level we're being funded by the government. I don't see the NHS succeeding in its current form.

Enter web3! Honestly we have so much potential to build a bottom-up system of running this world which prioritises art, family, love and friendship. Such powerful healers that would never be prioritised in the old system but can easily become our focus as a community and then spread out from there

I am the Associate Curator and Art Advisor at Institut- a new NFT platform focusing on bridging the traditional art world and Web3. Before transitioning into the art world, I graduated with degrees in Blockchain Security focusing on Terrorism and Nuclear Non-proliferation and worked in Defi since 2014. I hold a Master’s from Courtauld Institute of Art and has worked with various auction houses, museums, and private collections based in Eastern Europe, London, and the United States.

I first met Bright Moments in Art Dubai and have been obsessed ever since and love the amazing curation being done and events with artists like Operator. I would love to join here in London and fully be part of the DAO. Working as a Product and Community leader in web2 by day. Going deeper and deeper down the rabbit hole in web3 by night. I helped built and scale a social app from zero to several million active users. I love meditation, books and techno music! Bright Moments caught my interest through its focus on building local communities and creating IRL events. I am a huge believer in creating shared experiences and real life connections to build thriving and sustainable communities. I was blown away when I experienced the magic of it for the first time in April in Berlin’s Kraftwerk and knew that I have to join BM! Through London meetups, I realized that the city is probably the web3 frontier of Europe. Most people I met made the full-time jump to web3 and were working on impressive projects. This inspired me, and becoming a part of this community is my core motivation to become a CryptoLondoner. I am currently learning about web3 and I believe that being a part of Bright Moments DAO would help me accelerate my learning path.

Out of all communities I considered joining, Bright Moments is the best cultural fit for me: I spend a lot of time with music and art. I fell in love with web3.0 and the NFT space in June 2021 minting my first Art Blocks piece (Century by Casey Reas) when Art Blocks still had open projects on their website to browse. The one project I really wanted but couldn't get my hands on was CryptoVenetians - the first unofficial AB PFP until Sea Hams a few weeks later became the meme. I'm based in London so traveling to CA was not an option with my heavily pregnant wife at the time. That's why I was very excited to hear about the CryptoBerliner mint and convinced my friend to mint one and take me with him through the experience on Facetime. Now of course even more excited about Bright Moments coming to London!

Since last summer, I ventured deeper into the NFT space, spending at least 3-4 hours per day next to my IRL job in various discords, from P2E games like Ether Orcs over alpha groups like MVHQ & Origins to blue chips like Moonbirds and of course still in many generative art projects, e.g. Gen.Art, Hirst's Currency or the SquiggleDAO. I'm also running my own small discord server where I onboard friends into the space. Earlier this year, I started consulting projects on launch mechanisms and partnerships and have recently teamed up with a passionate London based artist to help him make his dream NFT project come to live.

But even though I've been living and breathing NFTs for almost a year every single day, the Bright Moments meet up in London 2 weeks ago was the very first time I've met like-minded people in the flesh - with a newborn I just haven't had the chance - and I loved every minute of it. It's still hard for me to get out of baby duties in the evenings but I already look forward to many more events! Finally, IRL I work as a Biz Dev director for a series D start-up in London, am originally from Germany and married to a Brazilian from Rio - CryptoCarioca next? :)

Hello, I’m Nadia, I work in Berlin and London as a model and I study health psychology. A few months ago, I started to be super interested in crypto and NFTs and since then I love learning and getting more information and Know How about Crypto and especially about NFTs. In Berlin I met Irina (who I am very thankful for), because she introduced me to the whole world of Bright Moments and the Cryptocitizens.

What I really like about this project is: showing people at exhibitions that NFTs can be 'real' art and building a worldwide community . Especially nowadays where many people feel separated and torn away from others, I think it is more important than ever to have a strong community which is based on decentralized blockchain NFTs. I want to be part of sustaining, growing and building this community of Cryptolondoners (Cryptocitiziens) and, of course, bring new ideas which can help it. In Berlin, I got to experience for the first time this amazing energy, openness and curiosity everyone had. Giving me the opportunity to be part of the DAO and being able to vote and connect with people I just see as an amazing blessing. I would love to get taught new things by other engaged people and I want to take part in the creation of a future.

I've spent my life in corporate jobs whilst pursuing my creative passions outside of work. If the Simulation in Gnosis passes, add the transaction to the queue. # Printing Policy Several artists in the London Collection have chosen to include prints with their minted collections. Our print policy includes details on specific prints for each project and instructions for shipping to remote minters. ## **Printing Policy** Both remote and IRL minters of the following London Collection projects are eligible to claim a complimentary print. If you are remote or cannot travel with your print, we have negotiated a flat shipping rate of **$75 to the United States, $115 GBP to Europe, and $150 to the rest of the world.** To verify whether a print has been claimed for your token ID, visit and connect your wallet holding the corresponding token. ## Token Redemption Each token holder is entitled to a single redemption. Once a token is used to redeem a physical print, either IRL or via our Shopify page, the token cannot be used again. # La Revelación Competition ## Entry Requirements A valid entry must: * Submit a prediction using the Bright Moments portal: * Share your prediction to Twitter and include: * Your prediction for the order of all ten artists * The hashtag #LaRevelacion * A link to the competition announcement tweet One entry per person. Any bots will be disqualified *and unplugged*. ## Prizes There is one "Grand Prize" and a 1st, 2nd, and 3rd place prize. Prizes are awarded based on the number of correct predictions that an eligible contestant makes. For example, if the contestant guesses the correct artist for a given position they will earn 1 point. Scan the QR code from the Control app on your iOS device. # Screen Management Screens must be setup on the [Bright Moments display manager](https://app.brightmoments.io/collections/gallery/screens) website before they are accessible from within the Control app. To help organize locations with multiple rooms, we have establishing a hierarchy to group screens:

Screens must live in a single group. Groups must live in a single location. Locations can have many groups. Groups can have many screens.

Once a screen has been setup in the gallery manager a pairing code will appear. Enter this pairing code into the device running the Visions application corresponding to the screen. Once a screen is connected and paired it will appear with a green status symbol in the gallery manager interface. # Playlist Management Playlists must be setup on the [Bright Moments gallery manager](https://app.brightmoments.io/collections/gallery/playlists) website before they are accessible from within the Control app. To start, all wallets come with an auto-created "Your Collection" playlist that contains the current NFTs within your wallet. Use the "Create New Playlist" button and give it a name and optional description. To add new items to a playlist paste in the OpenSea link and wait for the metadata to populate. Optionally update the duration to change how long the asset will appear onscreen during playback.

There are two types of delegation: * **Full Custody**: Delegate is responsible for taking custody of the piece and delivering it to the owner. * **Ceremonial**: Delegate is attending the trip, but does not take custody of the piece or make a selection during ceremony. Hashmark mint pass holder is responsible for scheduling an IRL pickup location at a local Bright Moments gallery after the conclusion of the event. #### Delegation Process 1. Complete the IRL attendance form and check the box stating "Sending a delegate" and provide their contact information and arrival time

There are two aspects to consider when implementing a token gating strategy: how and who. ### Who We can segment our community into several groups that gradually increase in size. 1. **Ultra Full Set** holders are the most exclusive. Ultra Full Set holders are wallets that hold one CryptoCitizen of each background from all cities. Since you need 40 NFTs (4 backgrounds x 10 cities) to be an Ultra Full Set holder, there can only be at most 250 wallets that meet this criteria. 2. **Full Set Holders** have the next priority. Full Set Holders are wallets that have at least one minted CryptoCitizen from each city. There can be at most 1,000 wallets that meet the Full Set holder critera. 3. **CryptoCitizens** are next. We can further break down CryptoCitizens into two groups: specific cities and all cities. If we need to segment the CryptoCitizen community for a sale, we can do it by city (e.g. CryptoVenetians, CryptoNewYorkers, etc). For example, since there are only 1,000 CryptoCitizens of each city, CryptoNewYorker holders might get access first before it moves to the rest of the CryptoCitizen holders. There will be 10,000 CryptoCitizens total. Sometimes when structuring a drop with an artist we will include holders of their previous collections in our token gating mechanism (e.g. Fidenza holders with Incomplete Control). In these situations, we typically look at the number of items and slot them into the most similar sized access group (e.g. if an artist has a previous collection with 500 items, then we would slot them into the CryptoCitizen city access group). ### How For sales, we implement token gating through **discounts** and **early access.** **Discounts** are used during dutch auctions. Giving certain buyers a discount to the final sellout price of an auction is equivalent to giving them early access to a fixed price sale, since they can buy earlier in the auction while maintaining the same cost basis. **Early access** is used during fixed price sales. Early access helps give certain traunches of buyers the ability to purchase before others and helps avoid a race to press the button. To help discourage people from splitting assets across wallets, we allow buyers to "stack" discounts and early access purchases. For example, if you are holding *n* Full Sets, you are eligible to make up to *n* purchases with the discount or during the early access purchase window. You are solely responsible for the custody and safekeeping of the Token and any wallet or devices that holds or can be used to access the Token. We will not be responsible for any Token that is lost, stolen, burned, or inaccessible to the Holder. Bright Moments only accepts responsibility for Tokens that are generated directly from its own smart contract. You are solely responsible for purchases made on the secondary market or from any third party marketplace or site. Any queries regarding Tokens purchased from third party marketplaces must be directed back to the relevant agent. Possession of a Token does not confer any rights (by implication or otherwise) on you to use, alter, copy or otherwise deal with any of the symbols, trademarks, logos and/or intellectual property appearing on the Token. Tokens cannot be used for advertising, promotions, contests or sweepstakes, unless formal written permission is given by us, provided that even if such consent is obtained, use of our trademarks and other intellectual property is subject to our prior written consent. You agree not to obtain or attempt to obtain any Token(s) through unauthorized use of any robot (a/k/a bot), spider or other automated tool or software or any other illegal or unauthorized activity. We reserve the right to cancel any Token transaction which we reasonably suspect to have been made in breach of these provisions without any notice to you, and any and all Token(s) purchased as part of such transaction will be void. This Token includes a license to an event revocable in Bright Moment’s sole discretion, and the holder of this Token, on behalf of the holder and any accompanying minor, agrees to all of its terms. The Holder agrees that this Token license is subject to these terms and conditions, as well as any additional terms and conditions established by Bright Moments. When purchasing Tokens on our site, you may be limited to a specified number of Tokens. This policy is in effect to discourage unfair Token buying practices. Each account must be linked to a unique wallet. Multiple wallets may not be used to circumvent or exceed published Token limits. If you exceed or attempt to exceed the posted Token limits, we reserve the right to cancel, without notice, any or all orders and Tokens, in addition to prohibiting your Token purchasing abilities. **PRICE AND PAYMENT** The price of the Token shall be the price set at the time we accept Your order. All advertised prices are inclusive of any applicable taxes and but exclusive of any gas fee or other transaction or delivery fees. If the amount you pay for a Token is incorrect regardless of whether due to an error in a price posted on our site, in our smart contract, or otherwise communicated to you, or if you are able to purchase a Token before its scheduled on-sale or presale date or you are able to order a Token that was not supposed to have been released for sale, then we will have the right to cancel that Token and refund to you the amount that you paid. This will apply regardless of whether due to human error or a transactional malfunction of the site, the smart contract, or other technical error. All Token prices are stated in the cryptocurrency ETH. The monetary value of the Token, and the value of any unique NFT that is minted from the Token, will be effected by the price of ETH. ETH may be more volatile than other fiat based currencies. The Token is not redeemable for cash or a cash equivalent. **RESALE OF TOKENS / SPECULATIVE TRADING** Although the Token may be listed and sold on secondary markets, Bright Moments does not encourage speculative trading. Purchasers who list the Token for resale do so at their own risk. You may not resell or transfer a Token if prohibited by law. Any resale or transfer (or attempted resale or transfer) of a Token in breach of the applicable law is grounds for seizure or cancellation of that Token. **CANCELED / RESCHEDULED / POSTPONED EVENTS** We (or any of our Event partners) reserve the right to make alterations to the published Event schedule where reasonably necessary. Where such alteration is a material change, you may request a refund in accordance with these Terms. You are solely responsible for scheduling a reservation to mint a unique NFT during a date and time, and at the specific location, designated by Bright Moments. Reservations will be made available on a first come, first served basis. It is your responsibility to ascertain whether an Event has been canceled, postponed or rescheduled. Where an Event is canceled, postponed or rescheduled, We will use our reasonable endeavors to notify you using the details you provided us with at the time of ordering. **Canceled Events** If the Event for which you bought a Token is canceled, you will be entitled to receive a unique NFT in accordance with these Terms and any additional conditions required by us following notice of cancellation. Event cancellations will either be published in the Bright Moments Discord, via Twitter, or email. Concurrent with the notice of cancellation, or shortly thereafter, We will select an advance date and time to record any wallet that holds Tokens which will be eligible for the NFT. Following the recording event of eligible wallets (commonly referred to as a ‘snapshot’), Bright Moments will select a future date range for the NFT distribution event (or ‘Airdrop’). Bright Moments may, at its sole discretion, delay the airdrop in order to reduce gas fees or for any other reason that we deem to be in the best interests of the Token Holders and the Bright Moments community. Token Holders will receive one unique NFT for each Token they own, to be distributed (or airdropped) directly to the wallet identified at the recording event (or snapshot). Token holders are solely responsible for monitoring Canceled Events and keeping updated on any notifications or conditions related to receipt of the NFT Airdrop. Bright Moments disclaims any warranties regarding the value of the NFT and the timing of the Recording Event and the Distribution Event and the effect these events may have on the monetary value of the NFT, if any. **Rescheduled/Postponed/Relocated Events** If your Notification indicates that your event has been rescheduled or postponed, you will keep your Token and remain entitled to use it on the date of your rescheduled event. If an event is rescheduled, postponed, or relocated, Bright Moments will work with Holders, on a case-by-case basis, to attempt to resolve the issues. Bright Moments may, but shall be under no obligation to, offer a Credit or refund for rescheduled, postponed, or relocated events. If a Credit or refund is offered, you may elect to accept any refund or Credit option set out during the period allowed by the Bright Moments credit policy for Your Token Event. If you do not make any election prior to the end of the Election Period, you will keep your Token and remain entitled to use it on the date of your rescheduled event. **EVENTS BEYOND OUR REASONABLE CONTROL (FORCE MAJEURE)** For the purposes of these Terms and Conditions, ‘Force Majeure’ means any cause beyond our control including, without limitation, act of God, war, insurrection, riot, civil disturbances, acts of terrorism, fire, explosion, flood, theft of essential equipment, malicious damage, strike, lock out, weather, third party injunction, contagion, national or international health emergency, national defense requirements, acts or regulations of national or local governments. We will not be liable to you for failure to perform any obligation under these Terms and Conditions to the extent that the failure is caused by Force Majeure. **SPECIAL RULES FOR COVID-19** Due to the uncertainty related to COVID-19, this Token and the Holder’s admission to the Event are subject to all safety and health requirements and policies put in place by Bright Moments, the Event venue, including requirements relating to face masks and enhanced health screenings (e.g. COVID-19 testing requirements) and those policies and requirements of the national or local government. Such policies and requirements as they may be updated from time to time and as they may be communicated to the Holder prior to or during the Event (whether orally or in writing) are collectively referred to below as the “Safety Requirements”. The Holder acknowledges and agrees to comply with the Safety Requirements (including all requirements that must be satisfied prior to or during the Event), and attendance at the Event is conditioned on such compliance. The Holder agrees that neither the Holder, nor anyone in the Holder’s party, will attend the Event if any one or more of the following is true on the day of such Event: * Within the prior 14 days, the Holder has (or any person in the Holder’s party or with whom the Holder has had close contact has) tested positive for, or been exposed to someone who has tested positive for, COVID-19; * Within the prior 48 hours, the Holder has (or any person in the Holder’s party or with whom the Holder has had close contact has) experienced symptoms of COVID19 (e.g., a fever of 100.4⁰F or higher, cough, shortness of breath or difficulty breathing, chills, repeated shaking, muscle pain/achiness, headache, sore throat, loss of taste or smell, nasal congestion, runny nose, vomiting, diarrhea, fatigue or any other symptoms associated with COVID-19 identified by the Centers for Disease Control and Prevention); or * Within the prior 14 days, the Holder has (or any person in the Holder’s party or with whom the Holder has had close contact has) traveled to a state or international territory identified by federal or applicable local governments as being subject to travel or quarantine advisories due to COVID-19. Without limiting the foregoing, any Holder who fails to satisfy any Safety Requirement will not be admitted into the Event and/or will be ejected from the Event venue. **LIABILITY** PERSONAL ARRANGEMENTS INCLUDING TRAVEL, ACCOMMODATION OR HOSPITALITY RELATING TO THE EVENT WHICH HAVE BEEN ARRANGED BY YOU ARE AT YOUR OWN RISK. UNLESS OTHERWISE STATED IN THIS CLAUSE, OUR AND ANY EVENT PARTNER(S)’ LIABILITY TO YOU IN CONNECTION WITH THE EVENT (INCLUDING, BUT NOT LIMITED TO, IN THE EVENT OF CANCELLATION, RESCHEDULING OR MATERIAL CHANGE TO THE PROGRAM OF THE EVENT) SHALL BE LIMITED TO THE TOKEN PRICE PAID BY YOU INCLUDING THE SERVICE CHARGE BUT EXCLUDING THE PROCESSING FEE, PER TRANSACTION COLLECTION OR DELIVERY FEE. **CONDITIONS OF ADMISSION AND ATTENDANCE** You must comply with instructions and directions given by Event venue staff and stewards. Bright Moments or the management of the Event venue reserves the right to refuse Token holder’s admission to the Venue in reasonable circumstances including for health and safety, licensing reasons or where a Token is void. Bright Moments or the management of the Event venue also reserves the right to request that Token holders leave the Venue at any point on reasonable grounds and may take any appropriate action to enforce this right. By way of example, Bright Moments or the Venue may remove a Token holder who: 1. has behaved in the Venue in a manner which, in the reasonable opinion of the Venue has, or is likely to affect the enjoyment of other visitors; or 2. uses threatening, abusive or insulting words or behavior or in any way provokes or behaves in a manner which may provoke a breach of the peace; or 3. in the reasonable opinion of the Venue is under the influence of drugs or has consumed an excessive amount of alcohol; or 4. fails, when required, to produce proof of identity or age; or 5. obstructs gangways, access-ways, exits, entrances or staircases, congregates in non-designated areas or seeks entry to stands or seats for which he/she does not hold a Token. No refunds will be given to Token holders who are refused entry or ejected due to their own behavior as suggested in, but not limited to, the examples above. **RESTRICTIONS AND PROHIBITIONS** By attending an Event, Token holders consent to filming and sound recording of themselves as members of the audience. The Event partner(s) may use such films and recordings (including any copies) without payment. Token holders shall not bring into the Venue or display or distribute at the Event any sponsorship, promotional or marketing materials. Unauthorized use of equipment for recording or transmitting (by digital or other means) any audio, visual or audio-visual material or any information or data inside any Venue is strictly forbidden. Unauthorized recording equipment, recordings, tapes, films or similar items may be confiscated and destroyed or deleted. Any recording made of an Event in breach of these conditions shall belong to the Event Partner(s). The Event Partner(s) and Venue will not be liable for any loss, theft or damage to confiscated items. **HEALTH AND SAFETY** Token holders must comply with all relevant statutes, safety announcements and Event venue regulations while attending the Event. If Token holders have any special requirements or concerns about any special effects which may be featured at the Event, prior notice should be provided when ordering Tokens. Special effects may include, without limitation, sound, audio visual, pyrotechnic effects or lighting effects. **DISPUTE RESOLUTION; MANDATORY ARBITRATION** Any complaints about a Token holder’s scheduling or ability to attend the Event or convert the Token to a unique NFT should be made promptly to us either before or during the Event. If any dispute arises out of these Terms and Conditions, we will attempt to settle it. We will acknowledge all customer correspondence and we shall use our reasonable endeavors to consult or negotiate in good faith, and attempt to reach a just and equitable settlement satisfactory to both parties within 7 working days. If we are unable to settle any dispute by negotiation, any disputes, claims or controversies arising from or related to your Tokens, or between you and Us, the Event Partner, the Promoter or the Venue regarding such matters, shall be submitted by Us to mediation and if the matter cannot be resolved through mediation, it shall be submitted for binding arbitration. Unless the parties agree otherwise, any mediation and/or arbitration shall take place in the State of California, County of Los Angeles, and shall be administered by and pursuant to the rules of the American Arbitration Association (“AAA”). Disputes shall be arbitrated on an individual basis. There shall be no right or authority for any claims or disputes to be arbitrated or litigated on a class action basis or in a purported representative capacity on behalf of the general public or other persons similarly situated. No arbitration award or decision shall be given preclusive effect as to the issues or claims in any dispute with anyone not a party to that arbitration. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend any rights arising by reason of your Token purchase (except for matters that may be taken to small claims court). Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury, and you specifically waive any right to be a member of a class action lawsuit for any claim, dispute or controversy arising from or related to your Token(s). **WAIVER & ASSIGNMENT** If we delay or fail to enforce any of these Terms, it shall not mean that we have waived our right to do so. We shall be entitled to assign any of our rights and obligations under these Terms provided that your rights are not adversely affected. **AMENDMENTS AND VARIATIONS** We intend to rely on the written terms set out here in this document as well as the written terms and conditions of the Venue and the Promoter. You should read these Terms carefully before entering into the contract to ensure that they contain everything that you consider has been agreed. If they do not then you should contact us in writing. After the contract has been made, these Terms cannot be varied or amended in any respect unless both you and We agree in writing. Notwithstanding the foregoing, we reserve the right to modify these Terms at any time. With respect to a material modification of any of the Terms effected by us after you have purchased your Tokens(s), we will not hold you to such modification unless we have provided you with an opportunity to seek a refund of such Tokens. **ENTIRE AGREEMENT** These Terms and any specially agreed terms constitute the entire agreement between the parties in connection to, its subject matter and supersede any previous terms and conditions, agreement or arrangement between the parties. **GOVERNING LAW AND JURISDICTION** These Terms and Conditions are governed by the law of the State of California, USA. If any provision (or portion thereof) contained herein is found by any arbitrator or court of competent jurisdiction to be invalid, illegal or unenforceable, that provision (in whole or in part) shall, to the extent required, be deemed not to form part of these Terms and Conditions, and the validity, legality and enforceability of the other provisions of these Terms and Conditions shall not be affected or impaired thereby. If any such provision (or portion thereof) is held invalid or unenforceable with respect to particular circumstances, it shall remain in full force and effect in all other circumstances. # Mint Pass Policy The following policy was voted on by CryptoCitizens and represents the Mint Pass policy for artists featured in the London Collection. Bright Moments empowers artists by providing end-to-end IRL minting experiences. As part of our IRL minting, we sell Mint Passes prior to the minting event that act as the collector’s proof-of-mint authentication and their exhibition entry ticket. Mint Passes are NFTs that grant the holder the ability to mint a work from a specific artist’s collection. Each Mint Pass corresponds to an unminted NFT within a specified collection and the number of Mint Passes corresponds with the final collection size. Prior to each drop and exhibition, Bright Moments works with artists to align on a creative vision and pricing for the collection’s Mint Pass. These conversations take several factors into consideration, including venue, solo vs group exhibition, collection size, market conditions for similar collections, and the ability of the Bright Moments team to support the artist’s creative vision for an IRL drop. ### 1. Unsold Mint Passes In the event that there are unsold Mint Passes after the artist’s minting event has concluded, Bright Moments will remove the unsold Mint Passes from sale as the event has concluded. Unsold mint passes will be burned. ### 2. Sold but Unminted In order to mint, Mint Pass holders must claim their NFT by staking their Mint Pass through a Bright Moments smart contract. This allows the collector to mint their NFT in-person (IRL) during the collection’s exhibition drop. When stated, some exhibitions may allow collectors to request a delegate mint that is minted IRL by a Bright Moments staff member on their behalf. In the event that a Mint Pass holder has not redeemed their mint by the time the event has concluded, Bright Moments reserves the right to mint all sold but unminted works to an escrow account until the collector swaps their Mint Pass to claim the minted NFT.
